SMG Plant and Equipment
(“SMG” or “the Company”)

This Non-Disclosure Agreement ("Agreement") is entered into by and between the undersigned user (“Customer” or “User”) and SMG Plant and Equipment, with its principal business in the buying and selling of heavy machinery and equipment parts for the construction, mining, and transportation industries.

1. Purpose
The purpose of this Agreement is to protect the confidentiality of proprietary information made available to the Customer through SMG’s Parts Portal, including but not limited to pricing, brand names, part numbers, and stock availability.

2. Confidential Information
For the purpose of this Agreement, “Confidential Information” shall include any and all information provided through the SMG Parts Portal, including:

Real-time pricing
Part numbers and specifications
Brand names
Availability or stock levels
Any other proprietary or commercially sensitive information

3. Obligations of the Customer
The Customer agrees to:

Use the Confidential Information solely for the purpose of sourcing and purchasing parts from SMG;

Not disclose, share, reproduce, or distribute any Confidential Information to any third party, competitor, vendor, or agent without prior written consent from SMG;

Take all reasonable measures to protect the confidentiality of the information received;

Immediately notify SMG of any unauthorized use or disclosure of Confidential Information.

4. Exclusions from Confidential Information
Confidential Information does not include information that:

Was already known to the Customer at the time of disclosure;

Becomes publicly known through no breach of this Agreement;

Is disclosed to the Customer by a third party legally entitled to disclose such information.

5. Term and Termination
This Agreement shall remain in effect for the duration of the Customer's access to the SMG Parts Portal and for two (2) years thereafter. SMG reserves the right to revoke portal access at any time if this Agreement is breached.

6. Remedies
In the event of a breach or threatened breach of this Agreement, SMG shall be entitled to seek injunctive relief, monetary damages, and any other remedies available under law or equity.

7. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

8. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes any prior agreements or understandings.
